我们正在寻找一位A股董事会秘书，负责公司治理、信息披露、投资者关系及资本市场相关工作。该职位将协助董事会推进公司战略规划，并协调公司与股东、证券监管机构及资本市场相关机构之间的沟通。
What are you going to do
主要职责包括：
* 协助董事会制定公司整体发展战略规划及经营计划。
* 负责股东大会及董事会会议的筹备，按照法定程序准备和提交相关会议文件及资料。
* 负责保管股东名册、董事名册，以及大股东、董事、监事和高级管理人员持股资料，并妥善管理股东大会、董事会会议文件及会议记录。
* 负责股东资料的管理，包括股东名册等相关资料。
* 负责公司信息披露事务，推动信息披露管理制度及重大信息内部报告制度的制定和执行，确保公司及相关当事人依法履行信息披露义务，并按规定完成定期及临时报告。
* 负责信息披露相关的保密工作，制定保密措施，推动相关知情人员在信息披露前履行保密义务，并在内幕信息泄露时及时采取补救措施。
* 负责与券商研究所、公募基金、保险机构及大型私募基金的交流互动。
* 负责投资者关系及股东资料管理，协调公司与证券监管机构、股东及实际控制人、保荐人、证券服务机构和媒体之间的信息沟通。
* 关注资本市场及同行业资本运作信息，为公司资本运营提供建议，并不定期提交分析报告。
* 完成董事会授权及交办的其他工作任务。
* 熟悉员工持股计划及期权等运作方法。
